These Terms of Service ("Terms") govern your use of Agari ("the Game"), developed and published by Ryan Sullenberger ("we," "us," or "our"). By downloading, installing, or using the Game, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Game.
1. Eligibility
You must be at least 13 years of age (or such higher minimum age as required by law in your jurisdiction) to use the Game. If you are between that minimum age and 18 years of age (or the age of majority in your jurisdiction), you may only use the Game with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
The Game does not involve real-money gambling. All point values and scores within the Game are fictional and have no monetary value.
2. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Game for your personal, non-commercial use on devices you own or control, through authorized distribution platforms (Steam, Apple App Store, Google Play, or our official website).
Content Creation. Personal use includes streaming, recording, and sharing gameplay videos and screenshots on social media and video platforms (such as Twitch, YouTube, or similar), provided such content does not falsely imply official affiliation with, sponsorship by, or endorsement from us. You may monetize such content (for example, through platform partner programs or viewer support) so long as the content itself remains original gameplay or commentary and does not redistribute the Game's code, assets, or proprietary materials apart from the gameplay being shown.
You may not:
- Copy, modify, distribute, sell, lease, sublicense, or otherwise transfer the Game or any portion thereof
- Reverse engineer, decompile, or disassemble the Game, except to the extent expressly permitted by applicable law
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Game
- Use the Game for any commercial purpose without our prior written consent
- Use cheats, exploits, automation software, bots, hacks, or any unauthorized third-party software designed to modify or interfere with the Game
3. Online Services
The Game includes optional online multiplayer functionality supported by a server we operate ("Online Services"). Game data is sent through our multiplayer relay server, which passes messages between the players in a session. How this data is handled is described in our Privacy Policy.
Availability. We provide the Online Services on an "as available" basis. We may modify, suspend, or discontinue the Online Services at any time, with or without notice, and without liability to you. We do not guarantee that the Online Services will be available at all times or in all regions.
Conduct. When using the Online Services, you agree not to:
- Disrupt, overload, or interfere with the operation of the Online Services or other players' connections
- Exploit bugs, glitches, or design flaws in the Game to gain an unfair advantage in online play
- Impersonate any person or entity
- Use a display name that is obscene, hateful, harassing, or that impersonates another person
- Engage in any activity that violates applicable laws or regulations
We reserve the right to restrict access to the Online Services for any user who violates these Terms.
4. User Data and Privacy
What We Collect. The Game stores your preferences (such as display name, audio settings, riichi BGM choice, match configuration), a randomly-generated installation ID (used for online-multiplayer rejoin recognition and as a short suffix on your Daily Wall display handle to disambiguate identical player names), match logs and statistics (game logging is on by default and can be turned off in Settings), and Daily Wall result history locally on your device. This data is not transmitted to us or any third party, except as described below.
Online Multiplayer. When you use the online multiplayer feature, your display name, installation ID, voice and riichi BGM choices, and gameplay actions are sent to our relay server, which forwards them to the other players in your session. We use this data to deliver it to those players. We may also keep a deidentified record of the match, as described below and in our Privacy Policy. Nothing else is kept after your session ends. If future game features share additional information during online multiplayer, the Privacy Policy will be updated to reflect them.
User-Initiated Sharing. Some Game features (such as the Daily Wall mode's "Copy Result" action) include a handle of the form "DisplayName#short-installation-id" in the data they place on your clipboard. That handle leaves your device only when you take an explicit action, and we never receive it. This is separate from online multiplayer, where your installation ID is sent to our relay server as described above.
Game Logs. The Game saves a log file for each completed match to your local device, covering both single-player and online multiplayer. Logging is on by default and can be turned off in Settings. These logs remain on your device and are not transmitted to us or any third party.
Gameplay Data. We may, now or in the future, collect and retain deidentified records of gameplay, including from online multiplayer sessions (such as match logs, game statistics, tile sequences, AI interactions, and in-game decisions), for the purposes of improving the Game, developing new features, analyzing game balance, fixing bugs, and training, developing, and evaluating machine learning and artificial intelligence models (including the Game's AI opponents). These records are created without your display name, installation ID, IP address, or any account identifier, and we do not link them to you. Our Privacy Policy describes this in more detail.
Analytics and Tracking. We do not use cookies, advertising identifiers, or behavioral tracking technologies, and we do not track your activity outside of the Game. Apart from the connection information necessarily processed to operate the Online Services, described in our Privacy Policy, any data we collect is limited to the deidentified gameplay data described above.
Children's Privacy. We do not knowingly collect personal information from children under the age of 13. If you are a parent or guardian and believe your child has provided personal information to us, please contact us at the address below, and we will take steps to delete such information.
5. Intellectual Property
The Game, including all code, artwork, audio, visual designs, AI models, and other content, is owned by Ryan Sullenberger and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.
"Agari" and the Agari logo are trademarks of Ryan Sullenberger. You may not use these trademarks without our prior written consent, except as permitted for fair use (such as reviews, commentary, or news reporting).
Gameplay Data License. To the extent any gameplay data, match record, or in-game input you generate is protectable, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to host, store, reproduce, modify, create derivative works from, analyze, and otherwise use that data for any purpose connected with operating and improving the Game and our products and services, including training, developing, and evaluating machine learning and artificial intelligence models. This license survives termination of these Terms. You waive any moral rights in such data to the extent permitted by law. Nothing in this paragraph changes how we handle personal information, which is governed by our Privacy Policy.
Certain third-party components are included in the Game under open-source or Creative Commons licenses. These components remain the property of their respective owners and are subject to their respective license terms. A full list of third-party licenses is available within the Game (Settings > About > View Licenses).
6. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GAME AND ONLINE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE GAME WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE GAME WILL MEET YOUR EXPECTATIONS.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RYAN SULLENBERGER OR ANY OF OUR LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE GAME OR ONLINE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGE TO YOUR DEVICE, COMPUTER HARDWARE, OPERATING SYSTEM, SOFTWARE CONFIGURATION, OR DATA RESULTING FROM YOUR DOWNLOAD, INSTALLATION, OR USE OF THE GAME.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE GAME SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE GAME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) FIFTY US DOLLARS ($50).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
8. Indemnification
You agree to indemnify, defend, and hold harmless Ryan Sullenberger and our licensors and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; or (b) your violation of any rights of any third party.
9. Third-Party Platforms
The Game may be distributed through third-party platforms, including but not limited to Steam (Valve Corporation), the Apple App Store (Apple Inc.), and Google Play (Google LLC). Your use of these platforms is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of these third-party platforms.
If you purchased the Game through a third-party platform, any refund requests must be directed to that platform in accordance with its refund policies.
Apple App Store. If you obtained the Game from the Apple App Store, the following additional terms apply. These Terms are between you and us only, not with Apple, and we alone are responsible for the Game and its content. Your license to use the Game obtained from the App Store is a non-transferable license to use the Game on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Game may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing. Apple has no obligation to provide any maintenance or support for the Game. If the Game fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Game. We, not Apple, are responsible for addressing any claim relating to the Game, including product liability claims, any claim that the Game fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation. We, not Apple, are responsible for the investigation, defense, settlement, and discharge of any third-party claim that the Game infringes that party's intellectual property rights. You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties. You must comply with any applicable third-party terms of agreement when using the Game. Questions, complaints, or claims regarding the Game may be directed to Ryan Sullenberger at the contact details in Section 14. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce these Terms against you.
10. Modifications to the Game and Terms
We reserve the right to modify, update, or discontinue the Game at any time without notice or liability. We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date at the top of these Terms and, where practicable, provide notice through the Game, our website (agari.app), or the store or platform through which you obtained the Game (for example, a Steam announcement or patch notes). Your continued use of the Game after any changes to these Terms constitutes your acceptance of the revised Terms.
11. Termination
We may suspend or terminate your access to the Game or Online Services at any time, for any reason, without notice or liability. Upon termination, your license to use the Game is immediately revoked.
Sections 5 through 8, Sections 12 and 13, and any other provisions that by their nature should survive termination shall survive any termination of these Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of laws principles.
Informal Resolution First. Before starting any formal proceeding, you agree to contact us at the address in Section 14 describing the dispute and to give us sixty (60) days to resolve it informally. Any applicable limitations period is tolled while that process is underway.
Venue. Any dispute arising out of or relating to these Terms or the Game that is not resolved informally shall be brought exclusively in the state or federal courts located in Massachusetts, and you and we each consent to the personal jurisdiction of those courts. You and we each waive any right to a trial by jury.
Class Action Waiver. To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Small Claims Exception. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within its jurisdictional limits.
Local Consumer Rights. Nothing in these Terms limits any mandatory statutory right or consumer protection available to you under the law of your country of residence. If you are a consumer resident in the European Economic Area or the United Kingdom, you may also bring proceedings in the courts of your country of residence.
13. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Game and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
